Legal experience — Oksanna served as Associate General Counsel for Citigroup’s Global Wealth Management business. She assisted the General Counsel in managing a 500+ member legal department supporting global businesses in brokerage, investment advisory, private banking, retail banking, mortgage lending, and credit cards. She advised senior management on a wide range of legal issues arising under U.S. and foreign banking and securities laws and regulations, including investment and banking products and services, regulatory compliance, litigation, policy development, compliance matters and employment issues. As a member of the company-wide Steering committee on Auction Rate Securities matters, she helped coordinate the company’s response to government investigations, client management and liquidity issues, and related litigation.
She previously served as in-house legal counsel and Director for Citigroup’s Investment Research department, a global business with 3,900 equity and fixed income analysts across 22 countries. She also served as a member of Citigroup’s Equity Research Oversight Committee to ensure the independence and quality of research. She led a strategic project to redesign global policies governing research publication, oversight, and interactions with investment banking businesses, in the context of a major regulatory overhaul.
She began her legal career at Cravath, Swaine & Moore, where she worked in both litigation and corporate law departments. She represented U.S. and European clients in transactions including initial public offerings, investment grade and high yield debt issuances, and mergers and acquisitions. She negotiated financing structures and advised clients on U.S. securities, antitrust and contract law issues. She also participated in all aspects of complex commercial litigation, spanning discovery, motion practice, trial and appellate proceedings. She worked with David Boise on the defense of Salomon Brothers and former Chairman Warren Buffett in DOJ and SEC civil and criminal investigations, and extensive related litigation, arising out of the 1991 Treasury Auction cases.
She founded Spinnaker Law Group, an innovative legal services firm working with experienced, high caliber part-time attorneys to serve the needs of legal departments in a collaborative and efficient model.
Business experience — Oksanna worked on Wall Street as a senior publishing stock analyst at Citigroup, where she provided investment advice to over one hundred major institutional investors, and was ranked in the Forbes/StarMine Best Analysts List. She was responsible for covering companies with over $100 billion in market capitalization in the U.S. Healthcare Services industry. She developed investment recommendations through detailed primary research into industry dynamics, financial analysis, and assessment of stock price drivers.
Oksanna was previously a consultant at McKinsey & Company focusing on the healthcare industry. At McKinsey, she led strategy projects for top management of Fortune 500 companies. She developed and maintained senior client relationships, and managed teams of consultants and clients from analysis through implementation phases of a wide variety of engagements – including growth strategies, competitive positioning, market entry initiatives, and process improvement and cost reduction plans. Projects included: designing market entry strategies and valuing potential acquisition candidates in U.S. and foreign markets; enhancing competitive strategies, including sales, marketing and distribution initiatives for established and newly launched products; developing “turn-around” plans for senior management, including identifying growth opportunities and major cost cutting initiatives.
Community involvement — Oksanna is a guardian ad litem, representing children pro bono in guardianship cases through Chicago Volunteer Legal Services. She also served as President of the Board of Between Friends, a non-profit dedicated to eradicating domestic violence.
Oksanna is a graduate of Harvard Law School and Harvard College. She lives in Chicago with her husband and three children, spanning elementary through high school.
In her spare time, she can be found texting on the sidelines at her daughter’s figure skating practice, driving her son to karate classes, or arguing with her teenager about dress codes. She would love to cook more but generally doesn’t have the time.
