Polene Liu is an accomplished Legal Executive with over twenty five years of corporate and large firm experience. She has been distinguished as a valued, methodical and trusted key advisor to senior executives on business/legal issues impacting significant business proposals. She has a natural ability to look at issues through a clear analytical eye and creatively bring parties together to develop win-win strategies and solutions that protect the company. Polene is recognized as a highly skilled contracts negotiator and complex transactions expert with a business-focused, tech-savvy and practical approach.
Polene served as Associate General Counsel as well as Senior Corporate Counsel for Toshiba America Information Systems, Inc. She led a team of lawyers and paralegals to support all corporate transactions and legal affairs, including mergers and acquisitions, divestitures, revenue share, distribution, licensing, outsourcing, and strategic alliance contracts. She oversaw antitrust, privacy and employment counseling and managed standardization of product advertising for personal computers on a worldwide basis. She has completed significant transactions including divestiture of a Toshiba factory in Mexico, $2 billion merger/acquisition and integration of a consumer electronics sister company; managed all legal aspects of product launch and strategic exits from businesses including servers, projectors, TVs, and consumer PC’s; was lead negotiator in complex contract negotiations with Google, Microsoft, Amazon, AT&T, Skype, Symantec, McAfee, Ingram Micro, Best Buy, and Walmart.
Prior to joining Toshiba, Polene served with O’Melveny & Myers, LLP. Her clients included the aerospace, broadcasting, high technology, and manufacturing industries. She represented these clients in a variety of transactions, including public and private placement of securities, institutional and venture capital financing, mergers and acquisitions, and software licensing and development.
Polene has her Juris Doctor degree from University of California, Berkeley and her Bachelor of Arts degree from Wellesley College. She was also a candidate for a Ph.D. in Chemistry from Stanford University. She has a working proficiency with these languages: Chinese Mandarin, Bahasa Malaysia and Cantonese.
In her “free” time she serves at the Public Law Center and volunteers for Families Forward.
